Welcome to Electro Website Solutions. These Terms and Conditions govern your use of our website and the services provided by Electro Website Solutions (“we,” “us,” “our,” or “the Company”).
By accessing our website or purchasing our services, you agree to these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.
1. Our Services
Electro Website Solutions provides website design and development, WordPress development, Shopify and e-commerce development, search engine optimization (SEO), digital marketing, PPC advertising, landing page development, website maintenance, content services, and related digital services.
The exact services provided to a client will depend on the agreed project scope, proposal, quotation, statement of work, or other written agreement.
We reserve the right to modify, add, or discontinue services at any time.
2. Project Scope
Before starting a project, we will establish the expected scope of work, deliverables, and requirements.
Any work requested outside the agreed scope may result in additional charges and may require a separate quotation or written approval.
Changes to project requirements after development has started may affect the project timeline and cost.
3. Quotes and Pricing
Project pricing is based on the requirements known at the time of preparing the quotation.
Quotes are generally valid for the period specified in the quotation. If no validity period is specified, we reserve the right to update the quotation if project requirements or circumstances change.
Additional work, features, revisions, integrations, content, or technical requirements not included in the original scope may be billed separately.
Third-party costs, including hosting, domain registration, premium plugins, themes, software licenses, advertising costs, payment processing fees, stock images, and other external services, may be charged separately unless specifically included in the agreed price.
4. Payments
Payment terms will be communicated in the project quotation, invoice, or service agreement.
Depending on the project, an upfront deposit or milestone payment may be required before work begins.
Invoices are due according to the payment terms stated on the invoice.
We reserve the right to pause or suspend work if an invoice becomes overdue. Delays caused by unpaid invoices may affect the project delivery timeline.
5. Refunds and Cancellations
Deposits or payments for work that has already been started may not be refundable, depending on the circumstances and the terms of the applicable project agreement.
If a client cancels a project after work has begun, the client may be responsible for payment for work completed up to the cancellation date and any approved third-party costs already incurred.
Any refund will be determined based on the applicable agreement, work completed, and expenses incurred.
6. Client Responsibilities
Clients are responsible for providing accurate information, content, images, logos, credentials, approvals, and other materials reasonably required to complete a project.
Clients are responsible for ensuring that materials they provide do not infringe the rights of another person or organization.
Clients are also responsible for reviewing and approving project deliverables within a reasonable timeframe.
Delays in providing required information, content, feedback, or approvals may result in delays to the project timeline.
7. Website Content
Unless otherwise agreed, clients are responsible for providing accurate business information, product information, legal notices, policies, images, and other content required for their website.
If we provide content-writing or related services, the client is responsible for reviewing and approving the final content before publication.
We are not responsible for inaccuracies in information supplied or approved by the client.
8. Website Development
We will make reasonable efforts to develop websites according to the agreed requirements and specifications.
Website functionality may depend on third-party software, hosting providers, plugins, APIs, payment processors, browsers, operating systems, or other external services.
We cannot guarantee that a website will function identically across every device, browser, operating system, or third-party platform.
9. Third-Party Services
Websites and digital marketing campaigns may use third-party services such as hosting providers, domain registrars, payment processors, advertising platforms, plugins, themes, analytics services, APIs, and other software.
Third-party services are subject to their own terms and policies.
We are not responsible for outages, changes, pricing changes, security incidents, discontinued services, or other issues caused by third-party providers.
10. Search Engine Optimization (SEO)
SEO is a long-term marketing strategy, and search engine rankings are influenced by many factors outside our control.
We do not guarantee specific rankings, traffic levels, leads, sales, or revenue from SEO services.
Search engines may change their algorithms, policies, ranking systems, and requirements without notice.
We will use reasonable and industry-standard strategies to improve a website’s search visibility based on the agreed SEO services.
11. Digital Marketing and PPC
Digital marketing and PPC campaigns depend on factors including advertising platforms, competition, budgets, targeting, market conditions, website performance, and customer behavior.
We do not guarantee a specific number of clicks, leads, sales, conversions, impressions, or return on advertising spend unless specifically agreed in writing.
Advertising budgets paid to platforms such as search engines or social media platforms are separate from our service fees unless otherwise stated.
Advertising platforms may reject, suspend, modify, or discontinue advertisements or accounts according to their own policies.
12. Website Maintenance and Support
Maintenance and support services will depend on the package or agreement selected by the client.
Maintenance may include software updates, content updates, backups, troubleshooting, security checks, performance improvements, and other agreed services.
Maintenance does not guarantee that a website will never experience downtime, security issues, errors, or technical problems.
Emergency or work outside the agreed maintenance scope may be charged separately.
13. Hosting and Domain Names
Where we assist with hosting or domain registration, the applicable hosting provider or domain registrar may have additional terms and conditions.
Clients remain responsible for renewing domains, hosting accounts, subscriptions, licenses, and other third-party services unless we have specifically agreed to manage these services on their behalf.
We are not responsible for loss of a domain name resulting from failure to renew it when renewal responsibility belongs to the client.
14. Intellectual Property
Unless otherwise agreed in writing, the client retains ownership of original content and materials supplied by the client.
Upon full payment for a completed project, the client will generally receive rights to the final website deliverables created specifically for the client, subject to any third-party licenses.
Third-party themes, plugins, software, fonts, stock images, libraries, frameworks, and other licensed materials remain subject to their respective licenses.
We retain ownership of our pre-existing tools, code libraries, development methods, templates, processes, know-how, and reusable components unless otherwise agreed in writing.
15. Portfolio and Marketing Rights
Unless the client requests otherwise in writing, we may display completed work in our portfolio, website, social media, presentations, or other promotional materials for the purpose of demonstrating our services.
We will not knowingly disclose confidential client information as part of such promotional use.
Clients may request that specific projects or information not be publicly displayed.
16. Confidentiality
We will make reasonable efforts to keep confidential information provided by clients confidential.
Confidential information does not include information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.
17. Website Security
We take reasonable measures to help protect websites we develop or maintain.
However, no website, hosting environment, software system, or internet connection can be guaranteed to be completely secure.
Clients are responsible for maintaining secure passwords and access credentials and should follow reasonable security practices.
18. Backups
Where backups are included in a service agreement, we will make reasonable efforts to maintain backups according to the agreed service.
Clients should maintain their own copies of important business information and website content.
We are not responsible for data loss resulting from circumstances outside our reasonable control.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Electro Website Solutions will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our website or services.
Our liability, where legally permitted, will be limited to the amount paid by the client for the specific service giving rise to the claim.
Nothing in these Terms and Conditions is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
20. No Guarantee of Business Results
Website development and digital marketing can support a business’s online presence, but we do not guarantee specific business results.
We do not guarantee a particular number of customers, leads, sales, revenue, search engine rankings, advertising results, or return on investment unless expressly agreed in writing.
Business results can be affected by factors outside our control, including competition, pricing, market conditions, customer demand, economic conditions, and client operations.
21. Suspension or Termination
We may suspend or terminate services if a client fails to make required payments, materially breaches these Terms and Conditions, provides unlawful content, or engages in conduct that creates a significant risk to our business, systems, staff, or other clients.
Clients may terminate ongoing services according to the cancellation terms contained in their applicable service agreement.
Termination does not remove the client’s responsibility to pay amounts already due for completed work or approved expenses.
22. Prohibited Use
You agree not to use our website or services for unlawful purposes or to violate applicable laws or regulations.
You must not use our services to distribute malware, conduct fraudulent activities, infringe intellectual property rights, engage in unauthorized access, or otherwise misuse our services.
We reserve the right to refuse or terminate services where a project involves unlawful, fraudulent, harmful, or abusive activities.
23. Website Availability
We make reasonable efforts to keep our website available and functioning properly. However, we do not guarantee uninterrupted or error-free access.
Our website may occasionally be unavailable due to maintenance, updates, hosting issues, technical problems, or circumstances beyond our control.
24. Changes to These Terms
We may update these Terms and Conditions from time to time.
Changes will become effective when the updated version is published on our website unless otherwise stated.
Your continued use of our website or services after changes are published constitutes acceptance of the updated terms, to the extent permitted by applicable law.
25. Governing Law
These Terms and Conditions are governed by the laws applicable in the jurisdiction where Electro Website Solutions operates, without regard to conflict-of-law principles.
Any dispute will be handled in accordance with applicable laws and the courts having appropriate jurisdiction.
